Any custom development work, solutions, or deliverables created specifically for you under a separate agreement shall be governed by the terms of that specific agreement. However, EchoSummoner retains ownership of any general methodologies, know-how, and pre-existing intellectual property used in the provision of Services.

Service Availability and Modifications

We strive to maintain the availability of our Services, but we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice. We may also impose limits on certain features or restrict access to parts or all of our Services without notice or liability.

Payment Terms

Payment terms for our services are specified in separate service agreements or proposals. Unless otherwise agreed in writing, all fees are due and payable in accordance with the payment terms specified in your service agreement. Late payments may be subject to interest charges and may result in suspension of services.

Limitation of Liability

To the fullest extent permitted by applicable law, EchoSummoner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our Services, regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or relating to these Terms or our Services shall not exceed the amount you have paid to EchoSummoner for the Services in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless EchoSummoner, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of our Services, your violation of these Terms, or your violation of any rights of another party.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

Governing Law

These Terms and any disputes arising out of or relating to these Terms or our Services shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the competent courts of the Netherlands, and you hereby consent to personal jurisdiction and venue therein.

Dispute Resolution

We encourage you to contact us first if you have any concerns or disputes. If we cannot resolve a dispute through direct communication, any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the Netherlands Arbitration Institute, conducted in English in the Netherlands.

Termination

Either party may terminate these Terms at any time by providing written notice to the other party. EchoSummoner may also terminate or suspend your access to our Services immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be inappropriate or harmful to our business or other users.

Upon termination, your right to use our Services will cease immediately, and any outstanding payment obligations will become due. The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, and governing law provisions.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and EchoSummoner regarding the use of our Services and supersede all prior agreements and understandings, whether written or oral.
